Offer for the Provision of Access to the SQL Academy Platform for Business

IE Ladanov Nikolay Viktorovich, hereinafter referred to as the "Provider", addresses this Offer to any legal entity or individual entrepreneur (hereinafter — the "Client"), collectively referred to as the "Parties". This document constitutes a public offer (Article 437, Clause 2 of the Civil Code of the Russian Federation).

1. Terms and Definitions
   1. Service — the automated information system SQL Academy, available at https://sql-academy.org.
   2. License — the right to provide Premium Access to the Service to one User under a simple (non-exclusive) license.
   3. License Package — a set of Licenses purchased by the Client to provide Premium Access to its employees.
   4. Premium Access — extended functionality of the Service (access to task solutions, certificates, etc.) valid for 6 (six) months from the date of activation.
   5. User — an individual (employee of the Client) who receives Premium Access through a License.
   6. Organization Dashboard — a restricted section of the Service for managing licenses, invitations, and the Client's team composition.
2. Subject of the Offer
   1. The Provider undertakes to provide the Client with License Packages to grant Premium Access to the Client's employees, and the Client undertakes to pay for the said services.
   2. This Offer is considered accepted by the Client from the moment of payment of the invoice issued by the Provider.
3. Service Delivery Procedure
   1. The Client selects a License Package in the Organization Dashboard on the Service.
   2. The Provider issues an invoice for the selected License Package.
   3. Upon receipt of payment, Licenses are credited to the Client's organization balance.
   4. The Client independently distributes Licenses to employees via email invitation or invite link.
   5. Each User who joins activates 1 (one) License and receives Premium Access for a period of 6 (six) months.
4. Pricing and Payment Terms
   1. The cost of services is determined by the selected License Package. Current prices are listed in the Organization Dashboard on the "Billing" page.
   2. Payment is made by bank transfer based on the invoice issued by the Provider.
   3. Payment term — 14 (fourteen) calendar days from the date of invoice issuance. After this period, the invoice is considered void.
   4. VAT is not applicable as the Provider applies the simplified taxation system (Article 346.11 of the Tax Code of the Russian Federation).
5. License Usage Terms
   1. A License is considered activated at the moment of the User's first login (authorization) to the Service via the Client's invitation.
   2. Premium Access is valid for 6 (six) months from the date of License activation. After this period, access automatically reverts to the free tier.
   3. The Client has the right to replace a User (return the License to the organization's balance) within 24 (twenty-four) hours from the moment of License activation by a specific employee. This right may be exercised no more than 1 (one) time per License.
   4. After 24 (twenty-four) hours, the License is considered permanently assigned to the User. Any further changes to the User composition are made by purchasing new Licenses.
   5. Unactivated Licenses (accesses) purchased by the Client and held on the balance in the Organization Dashboard may be distributed among Users within 1 (one) year (365 calendar days) from the date the payment is received on the Provider's settlement account.
   6. Upon expiration of the specified period (1 year), all unactivated Licenses are automatically canceled. The service regarding the provision of such Licenses is deemed to have been properly rendered, and the funds paid for them are non-refundable.
6. Rights and Obligations
   1. The Provider undertakes to:
      1. Provide access to the Service and its functionality in accordance with the terms of this Offer.
      2. Provide technical support via email at feedback@sql-academy.org.
      3. Ensure the confidentiality of the Client's and its Users' data.
   2. The Client undertakes to:
      1. Use the Service in accordance with the Terms of Use published at https://sql-academy.org/terms-of-use.
      2. Ensure the accuracy of the organization's provided details.
      3. Not grant access to the Organization Dashboard to unauthorized third parties.
      4. The Client guarantees that proper consent has been obtained from Users for the transfer of their personal data to the Provider for the purposes of rendering services under this Offer.
7. Liability
   1. The Parties shall be liable for non-performance or improper performance of obligations in accordance with the terms of this Offer and the legislation of the Russian Federation.
   2. The Provider does not guarantee uninterrupted operation of the Service but undertakes to take all reasonable measures to ensure its availability.
   3. The Provider shall not be liable for the actions of the Client's Users on the Service.
   4. The Provider's aggregate liability is limited to the amount of paid but unused Licenses.
8. Refund Policy
   1. Refunds are available for unused (non-activated) Licenses in full.
   2. Refunds for activated Licenses are not provided.
   3. Refund requests should be sent by the Client to the email address feedback@sql-academy.org.
9. Term and Termination
   1. This Offer is effective from the date of publication and is indefinite.
   2. The agreement between the Parties is considered concluded from the moment payment is received by the Provider.
   3. The Provider reserves the right to modify the terms of this Offer by notifying the Client no less than 30 (thirty) calendar days before the changes take effect.
   4. Either Party may terminate the agreement by notifying the other Party no less than 30 (thirty) calendar days in advance.
10. Closing Documents
    1. The Provider sends the Universal Transfer Document (UTD) electronically via the EDI system (Kontur.Diadoc) within 5 (five) business days from the moment the License Package is credited to the Client's balance (receipt of payment).
    2. The Client undertakes to sign the UTD within 5 (five) business days from its receipt via EDI. In the absence of substantiated objections within the specified period, the Services are considered fully rendered and accepted by the Client without objections.
    3. If the Client does not have an EDI system, the Parties acknowledge the legal validity of electronic copies of documents (PDF with facsimile) available in the Organization Dashboard.
11. Final Provisions
    1. The relations between the Parties under this Offer are governed by the legislation of the Russian Federation.
    2. All disputes shall be resolved through negotiations. If no agreement is reached — in court at the Provider's location.
